We operate the website https://www.musicdonna.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Billing Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Upnok LLC , governing your purchase and use of our digital content, subscriptions, and services ("Services"). By making a purchase on our Website, you agree to be bound by these Billing Terms. IF YOU DO NOT AGREE WITH THESE BILLING TERMS, YOU MUST NOT MAKE ANY PURCHASE AND MUST DISCONTINUE USE OF THE SERVICES IMMEDIATELY.

1. PRICING AND PAYMENTS

You can view our current prices for subscriptions and one-time purchases directly on our Website. The currency for all charges will be clearly displayed on the payment screen at the time of purchase. We offer auto-renewing subscriptions that provide access to our premium AI music generation features.

At the end of each subscription period, your subscription will automatically renew for a successive period at the then-current price, unless you cancel it. All prices are exclusive of any applicable local taxes or transaction fees, which are your responsibility.

We reserve the right to change our prices. We will notify you of any price changes to your active subscription via email at least thirty (30) days before they become effective. If you do not agree to the new price, you must cancel your subscription before the change takes effect. Continued use of the Services after a price change constitutes your acceptance of the new price.

2. TRIAL PERIODS

We may occasionally offer a paid trial for a small fee (e.g., $1 for 3 days). Unless you cancel your trial at least 24 hours before it ends, you will be automatically charged the full price of the subscription plan you selected at the time of purchase. The specifics of any trial offer will be clearly and explicitly stated on the payment screen.

3. ORDERING PROCESS & SERVICE ACCESS

Our service is accessed via a multi-step process on our Website:

Step 1 (Onboarding): You provide your preferences and creative inputs through our onboarding flow to personalize your Donna experience.
Step 2 (Payment): You select a plan and complete your purchase using a valid payment method (e.g., Credit Card, PayPal) via our secure payment processor.
Step 3 (Access): Upon successful payment, you will be immediately redirected to your Donna dashboard. A confirmation receipt of your purchase will also be sent to your registered email address.

4. PAYMENT AUTHORIZATION & PROCESSING

4.1. Authorization. By providing a payment method and confirming your purchase, you authorize us to charge your designated payment method for the total amount of your purchase, including any applicable taxes and fees. For subscriptions, you further authorize us to charge your payment method on a recurring basis until you cancel your subscription in accordance with our Cancellation Policy.

4.2. Third-Party Payment Processors. All payments are processed through secure third-party payment gateways. Our designated payment processor acts as the "Merchant of Record" for all transactions. We are not liable for any security breaches, processing errors, or service interruptions that occur on these third-party platforms. By making a purchase, you agree to abide by the terms and conditions of our chosen payment processor. We do not store your full credit card information on our servers.

5. CANCELLATION POLICY

Your subscription renews automatically at the end of each billing period unless it is canceled. Please note that deleting your account or uninstalling the app does not cancel your subscription.

To cancel your subscription and avoid future charges, you must do so at least 24 hours before your next renewal date. You can manage and cancel your subscription at any time through the "My Plan" section of your account settings on our Website. All cancellation requests must be made through this self-service portal.

7. SUBSCRIPTION SCOPE AND ADD-ON FEATURES (CRUCIAL EXCLUSION)

Scope of Subscriptions: Active paid subscription plans (Weekly, Semi-Yearly, and Yearly) cover standard core music creation features only, subject to the limits of each respective plan.

Excluded Premium Features: Advanced features—including but not limited to Extend (Song Extension), STEM Separation, and Proof of Creation—are strictly excluded from standard subscription packages. These features require separate, standalone credit purchases or add-on fees and will consume user credits regardless of the user's current subscription status. By using these advanced features, you acknowledge and agree to the additional charges.

8. SUBSCRIPTION BILLING, AUTOMATIC RENEWAL & FREE TRIALS

Automatic Renewal: All subscriptions are billed on a recurring basis. By subscribing, you explicitly authorize the Company (or the respective third-party platform) to automatically charge your designated payment method at the beginning of each renewal cycle, unless you cancel the subscription before the renewal date.

Cancellation Policy: You may cancel your subscription at any time. To avoid being billed for the next cycle, you must cancel at least 24 hours prior to your scheduled renewal date. Following cancellation, your premium access will remain active until the end of your current paid billing period.

Free Trial Forfeiture: If a Free Trial period is offered and you choose to purchase a paid subscription before the Free Trial ends, any remaining or unused portion of the Free Trial period will be immediately forfeited and cannot be recovered or credited back.

No Prorated Refunds: All subscription fees are strictly non-refundable. We do not offer partial refunds, prorated credits, or refunds for forgotten renewals or lack of platform usage.

9. ONE-TIME PURCHASES & CREDIT DEDUCTIONS

One-Time Transactions: Credit packages, AI Music Video Credits, and AI Voice Credits are classified as "One-Time Purchases." These transactions do not renew automatically and are billed upfront as a single transaction.

Credit Consumption: Credits are deemed fully consumed and non-recoverable the moment an AI generation task (e.g., song creation, music video rendering, STEM separation, or voice cloning) is successfully initiated and processed by our servers, regardless of the final aesthetic outcome or whether you download the file.

Non-Refundable & Non-Transferable: All credits and one-time purchases are final, strictly non-refundable, and cannot be exchanged for cash or transferred to any other user account under any circumstances.

10. THIRD-PARTY PAYMENT PROCESSORS (APP STORE & GOOGLE PLAY VS. WEB)

Platform Segregation: If you purchase a subscription or credits through a third-party application store (such as the Apple App Store or Google Play Store), your billing, subscription management, payment processing, and cancellations are handled entirely by that specific platform.

Third-Party Refunds: The Company has no direct access to or control over financial transactions processed via Apple or Google. Any refund requests or billing disputes originating from in-app purchases must be submitted directly to Apple or Google and will be subject to their respective terms and conditions.

11. GENERAL PROVISIONS, REGIONAL PRICING & LIABILITY

Regional Pricing and Taxes: Displayed prices are subject to variation based on the user's country, geographic location, currency fluctuations, and applicable regional taxes (such as VAT or Sales Tax). The final aggregate price will be calculated and presented at checkout.

Right to Amend Pricing: The Company reserves the right, at its sole discretion, to modify, update, or alter any pricing tiers, subscription benefits, or credit costs at any time without prior notice. Such modifications will apply to all future transactions and subsequent subscription renewals.

Limitation of Technical Liability: AI generation processes rely heavily on cloud infrastructure and complex mathematical algorithms. The Company shall not be held financially liable for temporary server downtime, slower processing speeds, or processing errors. In the event of a critical system failure resulting in a permanent loss of unconsumed credits, the Company's sole liability shall be limited to restoring the lost credits to the user's account balance.
